Guzman Acain LLP Advises on Foreign Investment in Palawan’s Huma Island Resort & Spa
Firm guided acquisition, construction, and regulatory approvals for a five-star island resort development in Palawan
Guzman Acain LLP provided legal counsel throughout the development of Huma Island Resort & Spa, a five-star private-island resort in the Calamian Group, Palawan, developed through a partnership between a foreign investor and a local Philippine company. The engagement was led by Managing Partner Alex Llanes Acain Jr.
Because the Philippine Constitution restricts foreign ownership of land, foreign investment in Philippine real estate projects like this one typically requires careful structuring — through vehicles such as long-term land leases, joint ventures with Philippine partners, or condominium-style ownership arrangements — to remain compliant while still giving the foreign investor a workable stake in the project. Guzman Acain LLP advised on structuring the partnership between the foreign investor and its local partner accordingly, alongside the regulatory approvals a resort development of this kind requires, including environmental clearance given Palawan’s status as a protected area under the jurisdiction of the Palawan Council for Sustainable Development, and accreditation with the Department of Tourism.
The firm’s involvement spanned the acquisition of development rights, construction-phase matters, and setting up the operational and regulatory framework needed to bring the resort into operation.
Guzman Acain LLP advises both foreign and domestic clients on Philippine real estate transactions, foreign investment structuring, and regulatory compliance. Learn more about our Real Estate Law practice, or contact our team to discuss a development or investment matter.
